1. Introduction

These Terms and Conditions govern your use of the services provided by Efficient Capital Ltd / Efficient Pay ("Efficient Capital," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these terms; if you do not agree, please do not use our services.

2. Services & Banking Partnerships

Efficient Capital offers a comprehensive suite of financial services designed to help businesses and individuals achieve their financial goals, including venture capital, capital trade, and investment advisory. Furthermore, we provide digital wallets, virtual NUBAN accounts, and payment processing. Virtual bank accounts and card services are provided in partnership with licensed Central Bank of Nigeria (CBN) financial institutions, including 9PSB.

3. Eligibility and KYC Verification

To use our services, you must be at least 18 years old, possess the legal capacity to enter into a binding contract, and be a resident of Nigeria or hold a valid Nigerian business registration. By registering, you explicitly consent to Efficient Pay retrieving and validating your Biometric Verification Number (BVN) and/or National Identity Number (NIN) against national databases for Know Your Customer (KYC) compliance.

4. Account Creation and Security

To access certain features, you must create an account. You are entirely responsible for maintaining the confidentiality of your account information, PIN, and OTPs, and for any activity occurring under your account. Efficient Pay will never ask for your PIN.

5. Transaction Limits and Anti-Money Laundering (AML)

Your account is subject to daily transaction and maximum balance limits in accordance with CBN Tier-1, Tier-2, and Tier-3 KYC regulations. We reserve the right to freeze your account, reverse transactions, or report suspicious activities to relevant law enforcement agencies if we suspect money laundering, terrorism financing, or fraudulent behavior.

6. Data Privacy and Protection (Compliance Clause)

In compliance with the Nigeria Data Protection Act (NDPA) 2023 and applicable international frameworks (such as the GDPR), your personal and financial data will be collected, stored, and processed securely. We will not share your data with unauthorized third parties without your explicit consent, except as strictly required by law or necessary for essential service delivery.

7. Promotions, Referrals, and Rewards

Efficient Pay may offer sign-up bonuses, referral rewards, or promotional campaigns at our sole discretion. We reserve the right to withhold, cancel, or recover any promotional funds if we detect abuse, self-referral, automated bot creation, or any violation of our promotional rules.

8. Fees and Charges

Our fees and charges are subject to change, and we will notify you of any adjustments in advance. Fees may vary depending on the specific services you use and the amount of capital involved.

9. Intellectual Property

All intellectual property rights in our services and content belong exclusively to Efficient Capital, and you may not use them for any commercial purpose without our prior written consent.

10. Representations and Warranties

You represent and warrant that you are of legal age, have the capacity to enter into a binding contract, will comply with all applicable laws, will not use our services for unauthorized or illegal purposes, will provide accurate information, and will not attempt unauthorized access to our systems.

11. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. We do not warrant that our services will be error-free, uninterrupted, or secure.

12. Limitation of Liability

In no event shall Efficient Capital be liable for any indirect, incidental, special, or consequential damages, including lost profits or lost data, arising out of or in connection with your use of our services.

13. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of Nigeria. Any disputes arising out of or in connection with these Terms shall first be subject to mediation or binding arbitration in Lagos, Nigeria, before being submitted to the exclusive jurisdiction of the Nigerian courts.

14. Changes to Terms and Conditions

We may update these Terms from time to time by posting the revised agreement on our website. Your continued use of our services after the effective date constitutes your binding acceptance of those changes.
